Terms of Service

Welcome to Flow AI, a service provided by Flowlytic Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our web application, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Flow AI, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Flow AI is an AI-powered communication and client relationship management platform designed for real estate professionals and business owners. The Service includes, but is not limited to:

  • SMS, MMS, and email messaging on your behalf to your contacts
  • AI-assisted message drafting, polishing, and contact matching
  • AI voice agent for hands-free communication management
  • Appointment booking and scheduling tools
  • Lead generation and search tools
  • AI coaching insights and outreach analytics
  • CRM integrations (Follow Up Boss, Lofty, and others)
  • Contact management and import tools

3. User Accounts and Registration

3.1 Account Creation

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, abuse of the messaging system, or non-compliance with applicable laws.

4. Subscriptions, Payments, and Refunds

All subscription fees are non-refundable. Please read this section carefully before subscribing.

4.1 Subscription Plans

The Service is offered through paid subscription plans ("Flow Plans"). Each plan includes a defined set of features, message allowances, and usage limits. Details of available plans and pricing are displayed within the Service and on our website.

4.2 Non-Refundable Payments

All payments for Flow Plans are final and non-refundable. Once a subscription payment is processed, no refunds, credits, or pro-rated amounts will be issued under any circumstances, including but not limited to:

  • Partial use of the subscription period
  • Unused message credits or feature allowances
  • Failure to use the Service during the billing period
  • Dissatisfaction with the Service
  • Account termination initiated by you or by us due to Terms violations

4.3 Cancellation Policy

You may cancel your subscription at any time through the Service (Settings > My Plan) or by contacting us. When you cancel:

  • Your subscription will NOT auto-renew — no further charges will be made to your payment method
  • You retain full access to all paid features for the remainder of your current billing period
  • No refund or credit will be issued for the unused portion of your billing period
  • At the end of your current billing period, your account will revert to a free/limited tier or become inactive

Cancellation takes effect at the end of your current billing cycle. You will not be charged again after cancellation unless you choose to resubscribe.

4.4 Top-Up Credits

Additional message credits or usage top-ups purchased outside of your subscription plan are also non-refundable. Unused top-up credits do not roll over between billing periods unless otherwise specified.

4.5 Billing and Payment Processing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payments are processed through Stripe and/or Apple App Store / Google Play Store. You authorize us to charge your designated payment method for all applicable fees. We do not store your payment card details.

4.6 Price Changes

We reserve the right to modify our pricing. Existing subscribers will receive at least thirty (30) days' notice before any price increase takes effect. You may cancel before the new pricing applies.

5. User Responsibilities and Prohibited Uses

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content you create, send, or transmit through the Service, including all SMS, MMS, and email messages.

5.2 Messaging Compliance

You are solely responsible for compliance with all messaging laws and regulations. Flow AI provides compliance tools but does not guarantee regulatory compliance.

When using the messaging features of the Service, you agree that:

  • You have obtained all necessary consents from recipients before sending messages through the Service
  • You comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal, state, and local laws
  • All contact lists you import are lawfully obtained with appropriate consent
  • You will honor all opt-out requests and not message contacts who have opted out
  • You will not send spam, unsolicited messages, or messages with misleading content
  • Any fines, penalties, or legal actions arising from your messaging activities are your sole responsibility

5.3 CRM Integrations

When you connect third-party CRM systems to the Service, you authorize the bidirectional sync of your contact data and activity. You are responsible for compliance with the terms of service and data handling policies of any third-party CRM you connect.

5.4 Prohibited Activities

You may not:

  • Violate any applicable laws or regulations
  • Send messages to contacts who have not consented to receive communications from you
  • Use the Service to harass, threaten, or send offensive content
  • Attempt to circumvent opt-out mechanisms, message limits, or compliance features
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to access the Service without permission
  • Resell, sublicense, or redistribute access to the Service
  • Interfere with other users' enjoyment of the Service

6. Intellectual Property Rights

6.1 Company Intellectual Property

The Service and its original content, features, AI models, and functionality are owned by Flowlytic Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

You retain ownership of any data, contacts, messages, and materials you upload to the Service ("User Content"). By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and transmit your User Content solely for the purpose of providing the Service (e.g., sending messages on your behalf, syncing with your CRM, generating AI insights).

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become our property and may be used without compensation to you.

7. AI and Automated Features

The Service uses artificial intelligence and automated systems. You acknowledge and agree that:

  • AI-generated content (message drafts, coaching insights, lead suggestions) is provided as a starting point and should be reviewed before use
  • AI outputs may contain errors, inaccuracies, or inappropriate suggestions — you are responsible for reviewing and approving all content before it is sent
  • The AI voice agent operates based on your instructions and available data — you are responsible for the actions you direct it to take
  • We do not guarantee the accuracy, completeness, or suitability of any AI-generated content

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access to the Service. We may experience downtime for maintenance, updates, or due to factors beyond our control. Message delivery depends on third-party carriers and is not guaranteed.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice when possible. Changes to core features will be communicated via email or in-app notification.

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, THAT MESSAGES WILL BE DELIVERED SUCCESSFULLY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWLYTIC INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM MESSAGE DELIVERY FAILURES, AI ERRORS, CRM SYNC ISSUES, OR THIRD-PARTY SERVICE OUTAGES.

10.3 Damage Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Flowlytic Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Messages you send through the Service
  • Your violation of any applicable law or regulation, including messaging and privacy laws
  • Any third-party claims related to your contacts, content, or communications

12. Termination

12.1 Termination by You

You may cancel your subscription or delete your account at any time through the Service (Settings > Account Settings) or by contacting us. Cancellation of your subscription stops future charges but does not entitle you to a refund.

12.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or refund, for conduct that we believe violates these Terms, is harmful to other users or third parties, or involves abuse of the messaging system.

12.3 Effect of Termination

Upon account deletion, your data will be handled in accordance with our Privacy Policy — most data is permanently deleted immediately, with anonymized billing and compliance records retained for 90 days before automatic purge.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Flowlytic Inc. regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 Updates to Terms

We reserve the right to update these Terms at any time. We will notify users of material changes through the Service or via email at least thirty (30) days before changes take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
